1. Acceptance of Terms

Sarvesh Infotech Ltd provides software development and related technology services including but not limited to:
- Custom software development

- Cloud solutions and migration
- IT consulting services
- Software maintenance and support
The specific scope, deliverables, timelines, and costs for any project will be defined in a separate Statement of Work (SOW) or project agreement between you and the Company.
3. Intellectual Property
Unless otherwise specified in a project agreement:
- All content on our website, including text, graphics, logos, and software, is the property of Sarvesh Infotech Ltd and is protected by intellectual property laws.
- Upon full payment, clients receive ownership of custom-developed code and deliverables as specified in the project agreement.
- We retain the right to use general knowledge, skills, and experience gained during project execution, as well as any reusable components or frameworks developed internally.
- Third-party libraries and open-source components used in projects are subject to their respective license terms.
4. Payment Terms
Payment terms are defined in individual project agreements. General payment policies include:
- Payment schedules are outlined in the project agreement or SOW
- Invoices are due within 30 days of issuance unless otherwise agreed
- Late payments may incur interest charges as permitted by law
- We reserve the right to suspend work on projects with outstanding payments exceeding 60 days
- All fees are exclusive of applicable taxes unless stated otherwise
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. This includes but is not limited to business strategies, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of any agreement for a period of two (2) years unless otherwise specified.
6. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:
- Our website and its content are provided "as is" without warranties of any kind, either express or implied
- We do not guarantee that the website will be uninterrupted, error-free, or completely secure
- Specific warranties for project deliverables are defined in individual project agreements
- We provide a standard defect warranty period as specified in the project agreement
7. Limitation of Liability
To the maximum extent permitted by applicable law, Sarvesh Infotech Ltdshall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability for any claims arising out of or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
8. Termination
Either party may terminate a service agreement with written notice as specified in the project agreement. In the event of termination, the client shall pay for all work completed up to the termination date. We will provide all completed work and deliverables upon receipt of final payment. Provisions relating to intellectual property, confidentiality, and limitation of liability survive termination.
9. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations under any agreement where such failure or delay results from events beyond the reasonable control of that party, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, riots, power failures, internet disruptions, or other similar events.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration in Sheridan County, Wyoming.
11. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the new terms. We encourage you to review these terms periodically.
